Welcome to Verified Node. These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Verified Node provides verification services for contractors, including license verification, insurance tracking, and response velocity testing ("3-Ring Test"). We also provide digital assets, such as verified badges and Schema markup injection, to display your verification status.

2. Verification & Accuracy

You agree to provide accurate, current, and complete information during the registration and verification process. You authorize Verified Node to verify your credentials against third-party databases (e.g., state licensing boards) and to conduct responsiveness tests by contacting your provided business phone number.

If your license expires, is revoked, or if your insurance coverage lapses, your verified status may be suspended or removed until the issue is resolved.

3. Subscription & Billing

Fees: The Service includes a one-time verification fee ($249) and annual renewal ($99/year) to keep credentials current. Optional Premium subscription ($49/month) includes Lightning Responder badge and priority visibility. Prices are subject to change with notice.

Cancellation: Premium subscribers may cancel anytime; verification status remains active until period ends. Annual renewals are non-refundable after 30 days. The one-time verification fee is non-refundable after 30 days but your credential page remains yours.

Money-Back Guarantee: We offer a 30-day money-back guarantee for new customers. If you are not satisfied within the first 30 days, contact support for a full refund.

4. Use of Verified Badge

Upon successful verification, you are granted a limited, non-exclusive license to display the Verified Node badge on your website and marketing materials. You may not use the badge in a misleading manner or if your verification status is inactive.

5. Response Velocity Testing

You consent to receiving automated or manual calls from Verified Node for the purpose of measuring your response time. These calls are for verification purposes only and are not sales calls.

6. Limitation of Liability

Verified Node is not a lead generation agency and does not guarantee a specific number of leads, jobs, or revenue. We verify credentials and provide visibility tools; business performance depends on many factors outside our control.

To the maximum extent permitted by law, Verified Node shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

7. Intellectual Property

All content, features, and functionality of the Service—including but not limited to the Verified Node name, logo, verification badge design, and proprietary methodology—are owned by 9512624 Canada Ltd. (operating as Verified Node) and are protected by copyright, trademark, and other intellectual property laws.

8. Indemnification

You agree to indemnify, defend, and hold harmless 9512624 Canada Ltd. (operating as Verified Node), its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of the Province of Ontario, Canada.

10. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us at legal@verifiednode.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal legal action.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 9512624 Canada Ltd. (operating as Verified Node)regarding your use of the Service and supersede any prior agreements.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
